Information required for registering a company in Malaysia

Information required to register a company in Malaysia:

• Proposed company name and its meaning

• The main business activities of the proposed company

• Copies of ID cards or passports of all directors and shareholders

• CVs and residential address proof of all directors, such as utility bills (if different from the ID card information), paid-up capital information

• Occupations and beneficial owners, emails and contact numbers of all directors and shareholders

• Shareholding ratio of each shareholder

• If he/she is not listed as a named shareholder, please provide us with the beneficial owner’s information.

• If you wish to update the address of your principal place of business (i.e. the place where you are/will be doing business) with SSM, please provide us with proof of address such as a utility bill or bank statement issued within the last 2 months, tenancy agreement, quit rent assessment notice, etc. (if any).

What is the source and origin of the funds used/utilized by the business? (e.g. employment/business/investment income in Malaysia)

Please provide written confirmation (email acceptable) that each director, nominee director, nominee for nominee director, shareholder, beneficial owner/controlling person, agent (if any) and settlor, trustee, beneficiary, protector, investment manager (for any trust structure) is not a Politically Exposed Person.
For Trusts – Copy of Trust Deed containing the name and administrative address of the Trust, copy of NRIC/passport, proof of residential address, contact details and curriculum vitae of the Settlor, Trustee, Beneficiary, Protector), Investment Manager etc.

1. It is a statutory requirement to set up a private limited company in Malaysia with at least one local resident director. In addition to Malaysians who are permanently residing in Malaysia, any foreigner holding a Resident Talent Pass (RPT) / Permanent Resident (PR) / Malaysia My Second Home (MM2H) is also eligible to be a resident director and can register a Malaysian company. If you do not have these qualifications, you may consider using our nominee director service.

2. If the shareholder is a corporate entity, please provide a copy of the shareholder’s registration documents, which include the company’s certificate of incorporation, memorandum/articles of association, certificate of office or equivalent (click on “ Proof of Incumbency ” to download a sample) and proof of registered address, company chart/structure, details of the company’s representatives, and written documents (e.g., board resolutions) showing the subscription of shares, shareholding percentage in the Singapore company, appointment of any representatives as directors of the Singapore company, appointment of the company’s representatives and authorization of the company’s shareholders to the directors (if any) and company’s representatives, etc. If the shareholders of the corporate shareholder are also corporate entities, please also provide the full set of registration documents mentioned above. All corporate shareholders must comply with this requirement until the final individual shareholders are determined.

3. A politically exposed person is an individual who is entrusted with any important public function in Malaysia or a foreign country, or an individual who is entrusted or delegated with any important public function by an international organisation, and includes an immediate family member or close associate of that individual.
